Item 4 of this Schedule 13D is supplemented and superseded, as the case may be, as follows: As previously disclosed, pursuant to the Letter Agreement, so long as Hannover held at least 4% of the outstanding Class A Shares, Hannover had the right to nominate a person of its choice, reasonably acceptable to the Issuer, to serve on the Issuer's Board of Directors (the "Board"). Pursuant to the Letter Agreement, Hannover nominated Miguel Gutierrez to serve on the Board and Mr. Gutierrez was elected as a director of the Issuer. On June 5, 2025, Hannover agreed to terminate its right to nominate a person to the Board and Hannover no longer has such nomination right. Hannover and the Issuer agreed that Mr. Gutierrez's continuation as a director of the Issuer shall not be deemed to be pursuant to the nomination right or any exercise thereof and that the Letter Agreement has been terminated in full and is of no further force or effect.

Percentage of Class

Each of the Reporting Persons may be deemed to beneficially own 6,127,265 Class A Shares of the Issuer that are directly held by Hannover. Such amount represents approximately 6.8% of the Class A Shares outstanding, based on 90,526,937 Class A Shares outstanding as of May 2, 2025, as reported in the Issuer's Form 10-Q filed with the SEC on May 13, 2025.
